These Terms of Service ("Terms") govern your access to and use of MEMStorage, Inc.'s services, software, and website (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the MEMStorage Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

MEMStorage provides an AI memory routing layer that intercepts queries to AI models, checks domain memory for existing answers, and escalates to full inference only when necessary. The Service is designed to reduce AI compute costs for enterprise customers.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your account credentials and for all activity under your account.

5. Intellectual Property

The Service and its original content, features, and functionality are owned by MEMStorage, Inc. and are protected by international copyright, trademark, patent (patent pending), trade secret, and other intellectual property laws.

The MEMStorage routing technology is the subject of a pending patent application. Unauthorized reproduction or use of this technology is prohibited.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Reverse engineer, decompile, or disassemble any portion of the Service
• Attempt to gain unauthorized access to systems or networks
• Transmit any malicious code, viruses, or harmful data
• Resell or sublicense the Service without prior written consent
• Use the Service in any manner that could damage or overburden our infrastructure

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, incorporated herein by reference. By using the Service, you consent to our collection, use, and sharing of your data as described therein.

8. Confidentiality

During pilot and demo engagements, both parties may share confidential information. Each party agrees to keep such information confidential and not disclose it to third parties without prior written consent.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Limitation of Liability

To the fullest extent permitted by applicable law, MEMStorage, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service.

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, all licenses and rights granted to you under these Terms will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

13. Changes to Terms

We may revise these Terms from time to time. We will notify you of material changes by updating the "Last updated" date. Continued use of the Service after such changes constitutes your acceptance of the revised Terms.
